JOB DESCRIPTION

POSITION SUMMARY
The successful candidate will have 2+ years of corporate paralegal experience and a college graduate. The position will support attorneys in the German Corporate Practice Group with all aspects of transactional work, including entity formation, maintenance, due diligence, regulatory filings, and the preparation of transactional documents.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Prepare and file formation and qualification documents for corporations, LLCs, and other legal entities in U.S. jurisdictions
- Draft, edit, and distribute corporate documents, including resolutions and basic contracts
- Support maintenance of trademark portfolios under supervision
- Maintain corporate minute books, stock ledgers, and cap tables; coordinate execution of documents and manage closings
- Coordinate closings, including preparation of closing checklists, signature pages, and closing binders
- Interact with clients, attorneys, and government agencies regarding corporate filings and compliance matters
- Organize and maintain a comprehensive and accurate filing system (both paper and electronic) for business records, documents, reports and deadlines
- Conduct online research and utilize electronic resources efficiently and effectively
SKILLS
- Ability to manage workloads from multiple attorneys, organize and prioritize deadlines as assigned
- Effective written and verbal communication skills; ability to summarize information concisely
- Strong attention to detail, with accurate data entry and proofreading abilities
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook), WestLaw, LexisNexis, iManage, OneDrive or similar document management programs
- Team player with the ability to work independently
QUALIFICATIONS
- Bachelor’s degree required
- Minimum of 2 years of relevant corporate paralegal experience in a law firm
- Familiarity with corporate and transactional documents, terminology, and procedures
- Strong working knowledge of entity formation and corporate maintenance requirements in Delaware and other jurisdictions
- Ability to work overtime, as needed
- Native or bilingual proficiency in German a plus
