Job Description:

We are currently seeking talented and experienced Corporate Attorneys with a focus on fund formation, governance, and transactions and/or securities matters. This is an exceptional opportunity to join our team in one of our offices located in Delaware, Florida, Maryland, New Jersey, New York, or Texas. The ideal candidates will have a minimum of 4+ years of relevant experience in corporate law and a strong background in fund formation, governance, and transactions or securities matters.

Responsibilities:

  • Provide expert legal advice and guidance to clients on fund formation, governance, and transactions or securities matters.
  • Assist clients in structuring, forming, and organizing various types of investment funds, including private equity funds, hedge funds, and venture capital funds.
  • Draft and review fund offering documents, partnership agreements, subscription agreements, and other relevant legal documentation.
  • Advise clients on corporate governance matters, including board and committee structures, fiduciary duties, and regulatory compliance.
  • Handle a wide range of corporate transactions, such as mergers and acquisitions, joint ventures, private placements, and securities offerings.
  • Conduct legal research, analyze complex legal issues, and provide strategic advice to clients.
  • Collaborate with a team of attorneys and professionals to ensure the highest level of client service and satisfaction.
  • Stay updated on relevant laws, regulations, and industry trends to provide cutting-edge legal counsel.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the bar in one or more states where our firm has an office and where the candidate desires to be a resident.
  • Minimum of 4+ years of experience practicing corporate law, with a focus on fund formation, governance, and transactions and/or securities matters.
  • Strong academic credentials, reflecting a commitment to excellence.
  • Excellent oral and written communication skills.
  • Demonstrated expertise in fund formation, governance, and transactions or securities matters.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Strong attention to detail and exceptional analytical skills.
  • Demonstrated ability to work independently and collaboratively within a team.
