This opportunity offers exposure to a broad range of sophisticated corporate and transactional matters, direct client interaction, and meaningful responsibility for transactions within a collaborative, partner-driven environment.

The firm’s corporate practice advises publicly traded and privately held companies, investors, executives, and other business clients on mergers and acquisitions, corporate governance, commercial transactions, entity formation, financing matters, and general corporate counseling.

The incoming attorney will work closely with experienced partners and clients while assuming substantive responsibility for managing transactions, negotiating agreements, and providing practical, business-oriented legal advice.

Responsibilities:

  • Represent buyers, sellers, investors, and management teams in mergers and acquisitions, joint ventures, and other strategic transactions.

  • Draft, review, and negotiate letters of intent, purchase agreements, merger agreements, disclosure schedules, and related transaction documents.

  • Conduct and manage legal due diligence, including the review of corporate records, material contracts, capitalization, intellectual property, employment matters, and potential liabilities.

  • Coordinate transaction signing and closing processes, including closing checklists, corporate approvals, ancillary agreements, and post-closing deliverables.

  • Advise clients on entity formation, corporate governance, equity issuances, restructurings, and general corporate matters.

  • Draft and negotiate commercial agreements, including services, licensing, consulting, vendor, supply, and distribution agreements.

  • Assist with debt and equity financing transactions and coordinate with attorneys across related practice areas.

  • Communicate directly with clients, opposing counsel, and other professional advisers throughout the transaction lifecycle.

  • Supervise junior attorneys and legal professionals as appropriate.

Qualifications:

  • Approximately 5–10+ years of corporate transactional experience within a law firm or comparable in-house legal department.

  • Substantive mergers and acquisitions experience, including due diligence, drafting and negotiating principal transaction documents, disclosure schedules, and closing mechanics.

  • Working knowledge of corporate governance, entity formation, and commercial contracting.

  • Strong legal drafting, analytical, negotiation, and transaction management skills.

  • Ability to independently manage multiple matters, coordinate complex transactions, and communicate effectively with clients.

  • New Jersey Bar admission required; New York Bar admission or eligibility for prompt admission also sought.

  • Experience representing privately held businesses, founders, investors, or emerging-growth companies is preferred.

  • Familiarity with Delaware and New Jersey corporate law, financing transactions, and executive compensation matters is a plus.

Additional Details:

This opportunity is well suited for a corporate attorney seeking a broad transactional practice with substantive deal responsibility, direct client exposure, and the ability to work closely with experienced partners.
