Our client is seeking a highly skilled and detail-oriented Corporate Paralegal to support our Corporate, Transactional, M&A, and Real Estate practices. This is an exciting opportunity to play a key role in managing complex transactions from start to finish, working alongside top-tier attorneys and clients across a dynamic legal environment.
The ideal candidate will bring deep experience in corporate governance, entity formation, due diligence, compliance, and M&A support, with a proactive mindset and strong organizational skills.
Key Responsibilities
– Support attorneys with corporate transactions, mergers & acquisitions, private equity, and securities filings.
– Form and manage corporations, LLCs, and other entities—including filings, EINs, taxes, and maintaining corporate records.
– Draft and maintain governance documents (e.g., bylaws, resolutions, operating agreements, stock purchase agreements).
– Conduct due diligence reviews and perform UCC and lien searches.
– Coordinate and manage closings—handling execution, escrow logistics, and post-closing materials.
– File regulatory documents such as Form D, Form ID, and state Blue Sky filings via EDGAR and EFD.
– Assist with real estate transactions, including title/survey reviews and document preparation.
– Maintain minute books, coordinate ongoing entity compliance, and handle certified filings and good standings.
What We’re Looking For
– 5+ years of corporate paralegal experience in a mid-to-large law firm environment.
– Demonstrated ability to independently manage transaction workflows and closings.
– Strong drafting, communication, and research skills with excellent attention to detail.
– Proficient in NetDocuments, EDGAR, DocuSign, Adobe Sign, Microsoft Word, Outlook, Excel, and Adobe Acrobat Pro.
– Bachelor’s degree and/or Paralegal Certificate required.
Technology Proficiency:
• Document & Case Management such as NetDocuments, iManage
• e-Signature Platforms: DocuSign, Adobe Sign
• Securities & Compliance: EDGAR
• Legal Research & Filings: Westlaw and corporate filing tools like EDGAR preferred.
• Microsoft Office Suite: Advanced Word (styles, TOCs, track changes, document comparison), Outlook, Basic Excel & PowerPoint
• PDF & Document Editing: Adobe Acrobat Pro/DC
• Calendar & Scheduling: Outlook
